HAI Materials and HAI Services are Intellectual Property (IP) of Her AI Success (hereinafter "HAI") and are protected by copyright. Strict limitations apply to the use and reuse of this IP.

"HAI Materials" means all HAI material, including without limitation: information and material as well as all products, software, website, frameworks, methods, trade secrets, know-how, ideas, approaches, associated descriptions, categorization, classification, objects, meta-objects, artefacts, maps, matrices and models, in whatever form or media they may be used (including print media, online media, books, articles, audiovisual works, blogs, wikis, or any other format or medium). HAI Materials also includes all text, images, documentation, screenshots, websites, photographs, and video footage of HAI, in whatever media they may be used.

"HAI Services" means all creation, customization, modification, implementation, application, supervision, communication, sharing or any other work, activity or service related to HAI and HAI Materials.

"You" means any reader of this copyright policy, any purchaser and/or user of HAI Materials and/or HAI Services, including without limitation any employee, member, director, officer, shareholder, board member, partner, agent, representative or affiliate of the aforementioned reader, purchaser, or user. Anyone included in this definition shall be bound by the terms of this copyright policy and deemed to accept them.

Copyright Protection

All text, images, and content presented on this website are the property of HAI, unless otherwise noted. HAI Materials and HAI Services are protected by law, including but not limited to the EU Copyright Directive (2019/790), German Urheberrechtsgesetz (UrhG), and any other applicable national or international IP law. Except as specifically indicated otherwise in writing, HAI is the sole owner of the copyright in the HAI Materials and HAI Services, and HAI reserves all rights in that regard.

Use of HAI Materials and HAI Services as Authorized by Contract

Your usage of and access to HAI Materials and/or HAI Services must be authorized in writing by HAI. This authorization is granted on a non-exclusive, one-time-only basis, subject to certain terms and conditions and applicable pricing, all as determined by a contract. Third parties wishing to use HAI Materials and/or HAI Services must obtain HAI's permission prior to exercising such use.

Covenants for Use

Unauthorized use or misuse of any HAI Materials or HAI Services is expressly prohibited. The following covenants apply to all pre-authorized uses and shall be strictly adhered to. Non-adherence constitutes a breach of this policy, subject to remedies available to HAI under EU and German law:

- HAI Materials and all copies thereof shall remain the exclusive property of HAI

- You shall not reproduce, modify, copy, aggregate, distribute, transmit, display, publish, license, or transfer any HAI Materials and/or HAI Services

- You shall not directly or indirectly attempt to reconstruct any HAI Materials and/or HAI Services, fully or partially, through company records, memory, or otherwise

- You shall not create derivative works of HAI Materials and/or HAI Services, or sell any information you gain access to through HAI

- You may only use HAI Materials and/or HAI Services without modification (except as necessary to resize or convert them to a permitted format)

- You may not use HAI Materials and/or HAI Services in any offensive, defamatory, disparaging, or misleading manner, in conjunction with obscene or pornographic material, in a way suggesting bias based on race, national origin, gender, sexual orientation, or religion (contrary to the EU Charter of Fundamental Rights and German Grundgesetz), or in any manner illegal under applicable EU or German law

- You may not imply any HAI partnership, sponsorship, agency, affiliation, or endorsement unless expressly permitted by written contract with HAI

- You may not use HAI Materials and/or HAI Services for a purpose competitive with HAI or its products, unless clearly permitted by applicable contract or law

- You may not use any HAI logo, trademark, or design mark

Following release for usage, HAI Materials and/or HAI Services may only be used for the specific purpose set out in a written agreement with HAI. They may not be reused, reproduced, modified, distributed, published, or transferred by any team, group, department, or entity other than the one for which they were released. Automating any HAI Materials and/or HAI Services requires prior written approval from HAI and may require additional fees

If you use or receive any HAI Materials and/or HAI Services, you agree to keep HAI's intellectual property confidential and secure. If you allow, whether actively or passively, unauthorized release, reuse, reproduction, or distribution of such materials, you will be held accountable for the breach and may be invoiced for the HAI Materials and/or HAI Services, plus any applicable fees or remedies available to HAI under German civil law (BGB) and EU IP law.

Governing Law and Jurisdiction

This policy is governed exclusively by, and shall be enforced, construed, and interpreted in accordance with, the laws of the Federal Republic of Germany and applicable EU regulations, or the laws of the country in which a breach, dispute, or action arises, at HAI's sole discretion, subject to any mandatory consumer-protection provisions that cannot be excluded under EU law (Rome I Regulation, Brussels I Recast Regulation). Each party submits to the exclusive jurisdiction of the competent courts of [City, Germany] and all courts having appellate jurisdiction thereover.

Each party waives, and will not assert by way of motion, defense, or otherwise, any claim that:

- Such party is not subject to the jurisdiction of such court

- Such action is brought in an inconvenient forum

- The venue of such action is improper

- Any subject matter of such action may not be enforced by such court

Severance of Terms

If any provision of this policy is held by a competent authority to be invalid or unenforceable in whole or in part, it shall, insofar as severable, be deemed omitted from the policy, and the validity of the remaining provisions shall not be affected.

The following are the terms of an agreement between you and Her AI Success (hereafter "HAI"). By accessing or using HAI content or this website (the "Website"), you acknowledge that you have read, understood, and agree to be bound by these terms and to comply with all applicable EU and German laws and regulations. If you do not agree, please do not use this Website or any HAI content.

For the purpose of these Terms, "You" includes any reader of these terms and any natural or legal persons who, directly or indirectly, are parent, subsidiary, affiliated, related, or associated to you, and your directors, officers, shareholders, or employees. License Grant

HAI hereby grants you a non-exclusive, non-transferable, limited permission to access and view the webpages within this Website as a customer or potential customer of HAI, provided you comply with these terms and all copyright, trademark, and proprietary notices remain intact. All other use of this Website and its content is prohibited.

No Warranty

HAI assumes no responsibility for the accuracy of information provided, and use of such information is at your own risk, subject to mandatory statutory warranties that cannot be excluded under German consumer law (§§ 474 ff. BGB) where you qualify as a consumer.

Withdrawal and Refunds

As an EU consumer, you have a statutory right to withdraw from a distance contract within fourteen (14) days of purchase without giving reasons, in accordance with the EU Consumer Rights Directive (2011/83/EU) and § 355 BGB, unless the service has been fully performed with your prior express consent and acknowledgment of loss of withdrawal right, or another statutory exception applies. Beyond the statutory withdrawal period, refunds may only be offered on certain products or services as stated in writing by HAI. Chargebacks

You agree to make every reasonable attempt to request a refund or exercise your statutory withdrawal right before initiating a chargeback with your financial institution. In the event of a chargeback, you agree to forfeit any bonuses or additional materials provided in connection with your original purchase, without prejudice to your statutory consumer rights. HAI reserves the right to present proof of access and these terms to the financial institution investigating the dispute.

Recurring Payments

If you have signed up for a payment plan, you authorize HAI's continued access to your financial information, stored by HAI or its third-party payment processors, until your payment plan is complete, subject to data protection safeguards under GDPR.

Conduct

You agree not to make false, negative, disparaging, or defamatory comments regarding HAI, or its clients, affiliates, officers, directors, partners, or employees, nor to engage in conduct that discredits HAI's reputation, subject to your right to fair comment and freedom of expression under Article 11 of the EU Charter of Fundamental Rights and Article 5 of the German Grundgesetz. If HAI determines you have violated these terms or engaged in detrimental conduct, HAI may terminate your access to its website and related communications, products, or materials, and may block your IP address from further access, at its reasonable discretion.

Severance of Terms

If any provision of this policy is held invalid or unenforceable in whole or in part by a competent authority, it shall, insofar as severable, be deemed omitted, and the validity of the remaining provisions shall not be affected.
